These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and ARC Educational LLC, a Florida limited liability company (“ARC,” “we,” “us,” or “our”).
By accessing or using our website, platforms, applications, digital products, memberships, events, or related services (collectively, the “Services”), you agree to be bound by these Terms.
If you do not agree, you must not use the Services.
ARC reserves the right to update or modify these Terms at any time. Continued use of the Services after the Effective Date of updated Terms constitutes acceptance.
1. Eligibility
You must be at least eighteen (18) years old to use the Services.
By using the Services, you represent and warrant that:
- You are at least 18 years of age.
- You have the legal capacity to enter into this agreement.
- You are not barred from using the Services under applicable law.
2. Description of Services
ARC provides educational content, digital programs, software tools, memberships, live and virtual events, and community access for informational and educational purposes only.
ARC does not provide:
- Investment advice
- Financial advice
- Legal advice
- Tax advice
- Personalized recommendations
All content is general in nature.
3. No Investment Advice & Earnings Disclaimer
ARC is not a broker, dealer, investment adviser, fiduciary, or financial institution.
Nothing contained within the Services constitutes:
- A solicitation
- A recommendation
- An endorsement
- An offer to buy or sell any asset
ARC makes no guarantees regarding:
- Income
- Financial performance
- Investment returns
- Business success
- Asset appreciation
Results vary based on individual effort, experience, market conditions, and other variables outside ARC’s control.
You assume full responsibility for any decisions made based on the Services.
4. User Accounts
If account registration is required:
- You are responsible for maintaining confidentiality of credentials.
- You are responsible for all activity under your account.
- You agree to provide accurate information.
ARC may suspend or terminate accounts for violations of these Terms or applicable law.
5. License & Intellectual Property
All content, materials, software, trademarks, logos, and digital assets are owned by or licensed to ARC and are protected by intellectual property laws.
ARC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes.
You may not:
- Copy
- Modify
- Resell
- Redistribute
- Reverse engineer
- Exploit
Any portion of the Services without express written permission.
Unauthorized use may result in termination and legal action.
6. Digital Assets & Blockchain Integration
Certain Services may include blockchain-based digital assets, including NFTs or access tokens (“Digital Assets”).
ARC does not:
- Custody wallets
- Control blockchain networks
- Guarantee market value
- Guarantee liquidity
Blockchain transactions are irreversible. You assume all associated risks.
Digital Assets are provided solely for access or utility and are not investments or securities.
7. Financing & Third-Party Payment Providers
ARC may offer financing options through third-party providers such as Affirm, Klarna, or similar services (“Financing Providers”).
By selecting financing:
- You enter a separate agreement with the Financing Provider.
- ARC is not responsible for approval decisions, payment schedules, interest, or disputes.
- Financing terms are governed solely by the Financing Provider.
Payment disputes with Financing Providers do not alter ARC’s Refund Policy.
8. Refunds & Cancellations
Refund eligibility is governed exclusively by ARC’s Refund & Cancellation Policy.
Certain digital products and services are non-refundable once accessed.
ARC reserves sole discretion in determining eligibility.
9. Prohibited Conduct
You agree not to:
- Violate applicable laws
- Infringe intellectual property rights
- Submit fraudulent or misleading information
- Interfere with platform security
- Attempt unauthorized access
- Share login credentials
- Resell or transfer access
ARC may investigate and take appropriate enforcement action.
10. User Content
If you submit content (“User Content”):
You grant ARC a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content in connection with the Services.
You represent that your content does not violate third-party rights.
ARC may remove content at its discretion.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
ARC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
ARC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
ARC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
ARC’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT PAID BY YOU TO ARC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(B) $1,000 USD.
13. Indemnification
You agree to indemnify and hold harmless ARC Educational LLC, its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, and expenses arising from:
- Your use of the Services
- Violation of these Terms
- Violation of any law
- Infringement of third-party rights
14. Binding Arbitration & Class Action Waiver
PLEASE READ CAREFULLY.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through final and binding arbitration.
Arbitration shall be conducted:
- In the State of Florida
- In accordance with the rules of the American Arbitration Association (AAA)
- On an individual basis only
You waive any right to:
- Participate in a class action
- Join collective proceedings
- Act as a representative plaintiff
All claims must be brought individually.
Judgment on the arbitration award may be entered in any court of competent jurisdiction.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
16. Force Majeure
ARC shall not be liable for delays or failures resulting from causes beyond its reasonable control, including but not limited to:
- Natural disasters
- Government actions
- Internet outages
- Blockchain disruptions
- Third-party platform failures
17. Electronic Consent
By using the Services, you consent to:
- Electronic communications
- Electronic signatures
- Electronic delivery of notices and agreements
Such communications satisfy any legal requirement for written notice.
18. Severability
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
19. Entire Agreement
These Terms, together with:
- The Privacy Policy
- The Refund & Cancellation Policy
- Any posted policies
Constitute the entire agreement between you and ARC Educational LLC.
